Affiliate Program

Purpose

The Company operates The Racing Line mobile application and offers subscription access to its services.

The Affiliate agrees to promote the Company’s application using a unique promotional code issued by the Company.

Independent Contractor Relationship

The Affiliate is engaged as an independent contractor.

Nothing in this Agreement creates:

  • employment

  • partnership

  • joint venture

  • agency relationship

The Affiliate is solely responsible for their own taxes and legal obligations.

Promotional Code

The Company will provide the Affiliate with a unique promotional code.

The Affiliate may promote this code through:

  • social media

  • websites

  • podcasts

  • newsletters

  • video content

  • other media platforms

The Company reserves the right to revoke, suspend, or change the promotional code at any time at its sole discretion.

Commission Structure

The Affiliate will receive a commission equal to 25% of the sale price actually paid by the customer for the subscription purchased using the Affiliate’s promotional code.

The sale price is defined as the amount charged to the customer for the subscription at the time of purchase, excluding any applicable taxes, refunds, or chargebacks.

Because subscription prices may vary between countries, currencies, promotions, or platform pricing adjustments, the commission will always be calculated as 25% of the price paid by the customer in that transaction.

Examples:

  • If the subscription price paid by the customer is £8.99, the Affiliate commission is £8.99 × 25%.

  • If the subscription price paid by the customer is ₹499 (India), the Affiliate commission is ₹499 × 25%, converted to the payment currency at the time of payment.

Commission is calculated from the sale price paid by the customer, regardless of platform fees or payment processing costs.

Eligible Conversions

Commission is payable only when all of the following conditions are met:

  1. A user redeems the Affiliate’s promotional code.

  2. The user begins a free trial period.

  3. The user converts to a paid subscription at the end of the free trial.

Commission is payable only on the first paid purchase resulting from that conversion.

No commission is payable for:

  • free trial users who do not convert

  • subscription renewals

  • refunds or chargebacks

Attribution and Tracking

The Company uses internal tracking systems to attribute conversions.

All commission calculations are determined solely using the Company’s internal data and systems, which shall be final and binding.

The Company is not responsible for tracking errors caused by:

  • third-party platforms

  • user device settings

  • ad blockers

  • external systems outside the Company’s control


Payment Terms

Commission payments are made with a Two-month delay from the month the promotional code was used.

Example payment schedule:

Code Used → Payment Issued

January → March

February → April

March → May

Payments are issued monthly, subject to a minimum payment threshold of £25.

If the amount owed is below £25, it will roll over to the next payment period.

Payments will be made via:

  • PayPal
    or
    Bank Transfer

The Affiliate is responsible for providing correct payment details.

Refunds, Fraud and Abuse

The Company reserves the right to withhold, cancel, or reverse commissions resulting from:

  • fraudulent activity

  • abuse of the system

  • self-referrals

  • artificial traffic or bot activity

  • misuse of promotional codes

If such activity is detected, the Company may terminate the Agreement immediately.

Brand and Marketing Conduct

The Affiliate agrees not to:

  • misrepresent the Company’s products or services

  • make false claims

  • impersonate the Company

  • present themselves as employees or official representatives

The Company grants the Affiliate a limited, revocable licence to use the Company’s brand assets solely for the purpose of promoting the application.

Advertising Disclosure Compliance

The Affiliate must comply with applicable advertising laws and guidelines, including but not limited to:

  • UK Advertising Standards Authority (ASA) rules

  • US Federal Trade Commission (FTC) guidelines

Affiliate content must clearly disclose that the influencer may receive a commission for referrals.

Intellectual Property

All intellectual property belonging to the Company remains the property of the Company.

The Affiliate retains ownership of content they create.

However, the Affiliate grants the Company a non-exclusive, royalty-free licence to repost or share promotional content relating to the Company.

Term and Termination

This Agreement begins on the date signed and continues until terminated.

Either party may terminate the Agreement with 30 days written notice.

The Company may terminate the Agreement immediately in cases of:

  • fraud

  • brand misuse

  • violation of advertising laws

  • abusive promotion practices

Outstanding commissions accrued before termination will remain payable subject to the terms of this Agreement.

Confidentiality

The Affiliate agrees not to disclose confidential information including:

  • revenue figures

  • conversion rates

  • internal systems

  • marketing strategies

Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for:

  • indirect damages

  • loss of profits

  • consequential losses

The Company’s maximum liability under this Agreement shall not exceed the total commissions paid to the Affiliate.

Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of Scotland.

Any disputes shall be resolved under the jurisdiction of the Scottish courts.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes any prior discussions or agreements
